{"id":341,"date":"2026-05-08T14:16:42","date_gmt":"2026-05-08T14:16:42","guid":{"rendered":"https:\/\/qualidify.com\/?page_id=341"},"modified":"2026-05-22T13:17:42","modified_gmt":"2026-05-22T13:17:42","slug":"general-terms-and-conditions","status":"publish","type":"page","link":"https:\/\/qualidify.com\/en\/general-terms-and-conditions\/","title":{"rendered":"General Terms and Conditions"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">These General Terms and Conditions apply to all quotations, assignments, and agreements of Qualidify B.V., established at Oude Dwingelerdijk 2, 7964 KH Ansen, registered with the Chamber of Commerce under number 80850227.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Article 1 \u2014 Definitions<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Qualidify: Qualidify B.V., the contractor and provider of services and the QMS platform.<\/li>\n\n\n\n<li>Client: the organization or company that issues an assignment to Qualidify.<\/li>\n\n\n\n<li>Assignment: the agreed activities in the field of IT consultancy, quality management, process optimization, or the use of the Qualidify QMS platform.<\/li>\n\n\n\n<li>Agreement: the written or digital confirmation of an assignment, quotation, or subscription.<\/li>\n\n\n\n<li>Subscription: a periodic agreement for the use of the Qualidify QMS platform.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 2 \u2014 Applicability<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>These general terms and conditions apply to all quotations,<\/li>\n\n\n\n<li>offers, and agreements between Qualidify and the client.<\/li>\n\n\n\n<li>Deviations from these terms and conditions are only valid if agreed upon in writing.<\/li>\n\n\n\n<li>The applicability of any purchasing or other terms and conditions of the<\/li>\n\n\n\n<li>client is expressly rejected.<\/li>\n\n\n\n<li>These terms and conditions apply exclusively to agreements with<\/li>\n\n\n\n<li>business clients (B2B).<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 3 \u2014 Quotations and offers<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All quotations from Qualidify are non-binding and valid for 30 days after the date of issue, unless otherwise indicated.<\/li>\n\n\n\n<li>An agreement is concluded by written or digital acceptance of a quotation by the client, or by the commencement of the workafter agreement.<\/li>\n\n\n\n<li>Qualidify reserves the right to refuse an assignment without giving reasons.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 4 \u2014 Execution of the assignment<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Qualidify executes the assignment to the best of its knowledge and ability, in conformity with the requirements of good craftsmanship. All obligations of Qualidify are best-effort obligations, unless a result has been expressly agreed upon.<\/li>\n\n\n\n<li>The Client is responsible for the timely provision of the necessary information, access, and cooperation. Delays resulting from failure to provide these shall be at the Client&#8217;s expense.<\/li>\n\n\n\n<li>Qualidify is entitled to have work performed by third parties, provided this is done in consultation with the Client.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 5 \u2014 Rates and Fees<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Consultancy work is performed on the basis of an hourly rate, unless a fixed project price has been expressly agreed upon.<\/li>\n\n\n\n<li>The Qualidify QMS platform is offered on the basis of a periodic subscription rate, as stipulated in the agreement.<\/li>\n\n\n\n<li>All rates are exclusive of VAT, unless stated otherwise. <\/li>\n\n\n\n<li>Travel expenses and other costs are charged separately based on actual costs, unless agreed otherwise.<\/li>\n\n\n\n<li>Qualidify reserves the right to index rates annually, with prior notice of at least 30 days.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 6 \u2014 Invoicing and payment<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Qualidify invoices monthly in arrears for hours worked and\/or subscription fees, unless otherwise agreed.<\/li>\n\n\n\n<li>The payment term is 30 days after the invoice date.<\/li>\n\n\n\n<li>In the event of the payment term being exceeded, the client is in default by operation of law, and Qualidify is entitled to charge statutory commercial interest.<\/li>\n\n\n\n<li>In the event of non-payment following a reminder, Qualidify is entitled to suspend the execution of the assignment until the amounts due have been paid in full.<\/li>\n\n\n\n<li>Any extrajudicial collection costs shall be borne by the client.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 7 \u2014 Qualidify QMS Subscription<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The subscription for the Qualidify QMS platform is entered into for the period stipulated in the agreement.<\/li>\n\n\n\n<li>The subscription is automatically renewed unless the client cancels in writing no later than 30 days before the end of the term.<\/li>\n\n\n\n<li>In the event of cancellation, the client is not entitled to a refund of subscription fees already paid.<\/li>\n\n\n\n<li>Qualidify reserves the right to update the platform, to maintain it, or to modify functionalities. Substantial changes will be announced at least 30 days in advance.<\/li>\n\n\n\n<li>In the event of scheduled maintenance, Qualidify strives for minimal disruption and will inform the Client in a timely manner.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 8 \u2014 Confidentiality<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Both parties undertake to maintain the confidentiality of all confidential information they receive from each other in the context of the assignment.<\/li>\n\n\n\n<li>Confidential information is understood to mean all information that has been designated as such, or whose confidentiality can reasonably be assumed.<\/li>\n\n\n\n<li>This duty of confidentiality also applies after termination of the agreement.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 9 \u2014 Intellectual Property<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All intellectual property rights to the Qualidify QMS platform, developed software, documentation, and methodologies are vested in Qualidify, unless otherwise agreed in writing.<\/li>\n\n\n\n<li>The Client obtains exclusively a non-exclusive,non-transferable right of use for the agreed purposes.<\/li>\n\n\n\n<li>Reports, advice, and other documents prepared by Qualidify in the context of an assignment are intended exclusively for use by the Client and may not be provided to third parties without the permission of Qualidify.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 10 \u2014 Liability<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Qualidify is solely liable for direct damage that is the direct result of a demonstrable failure in the execution of the assignment.<\/li>\n\n\n\n<li>Liability for indirect damage, consequential damage, lost profits or damage due to loss of data is expressly excluded.<\/li>\n\n\n\n<li>Qualidify&#8217;s liability is at all times limited to the amount invoiced in the three preceding months in the context of the relevant assignment, with a maximum of \u20ac 10,000.<\/li>\n\n\n\n<li>Qualidify is not liable for damage resulting from incorrect or incomplete information provided by the client.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 11 \u2014 Force Majeure<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>In the event of force majeure, Qualidify is not obliged to fulfill its obligations.<\/li>\n\n\n\n<li>Force majeure is understood to mean any circumstance beyond the will and reasonable foreseen by Qualidify, including disruptions in internet or telecommunications, failure of hosting services, illness, or government measures.<\/li>\n\n\n\n<li>If the force majeure situation lasts longer than 60 days, both parties are entitled to dissolve the agreement without obligation to pay compensation.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 12 \u2014 Termination and Dissolution<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Assignments on an hourly basis may be terminated by either party subject to a notice period of 30 days, unless otherwise<\/li>\n\n\n\n<li>agreed.<\/li>\n\n\n\n<li>For assignments with a fixed project price, early termination by the client is only possible against reimbursement of costs already incurred and reasonable loss of profit.<\/li>\n\n\n\n<li>Qualidify is entitled to dissolve the agreement with immediate effect if the client seriously or repeatedly fails to meet its payment obligations, or is in a state of bankruptcy or suspension of payments.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 13 \u2014 Applicable law and disputes<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All agreements between Qualidify and the client are governed by Dutch law.<\/li>\n\n\n\n<li>Disputes shall initially be resolved amicably.<\/li>\n\n\n\n<li>If the parties are unable to reach an amicable settlement, disputes shall be submitted to the competent court in the district where Qualidify is established.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Article 14 \u2014 Amendments<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Qualidify reserves the right to amend these General Terms and Conditions.<br>Amended terms and conditions will be published on the website at least 30 days prior to their effective date.
